1. Services Provided

WebJFix provides professional digital services including, but not limited to:

• Custom Website Design: Development of new, unique websites.
• Website Redesign Services: Modernization and optimization of existing websites.
• Search Engine Optimization (SEO) Services: Strategies and implementation to improve search engine rankings.
• Local SEO Setup: Optimization for local search results and Google Business Profile.
• E-commerce Website Development: Creation of online stores.
• Website Maintenance & Support: Ongoing technical care and updates.
• Branding & UI/UX Design: Development of brand identity and user experience.

Detailed scope of work for each project will be outlined in a separate Project Proposal or Service Agreement between WebJFix and the Client.

2. Client Responsibilities

As a client engaging with WebJFix’s services, you agree to:

• Provide all necessary content (text, images, videos, logos, etc.) for your website or SEO campaign in a timely manner as requested by WebJFix. Delays in content provision may impact project timelines.
• Provide timely feedback and approvals during the design and development phases.
• Ensure that all provided content adheres to copyright laws and does not infringe upon any third-party rights. WebJFix is not responsible for copyright infringement arising from client-provided content.
• Make payments according to the agreed-upon schedule.
• Appoint a single point of contact for project communication to streamline efficiency.

3. Payment Terms

• Fees: Service fees will be detailed in the individual Project Proposal or Service Agreement.
• Invoicing: Invoices will be issued according to the agreed payment schedule (e.g., upfront deposit, milestone payments, final payment).
• Payment Due Date: Payments are due upon receipt of invoice, unless otherwise specified in the agreement.
• Late Payments: WebJFix reserves the right to charge a late fee for overdue payments. Services may be paused or withheld until payment is received.
• Refunds: Due to the nature of digital services, payments are generally non-refundable once work has commenced, unless explicitly stated otherwise in a separate agreement.

4. Intellectual Property

• Client Content: You retain ownership of all content provided to WebJFix (e.g., text, images, logos). You grant WebJFix a license to use this content solely for the purpose of delivering the agreed-upon services.
• WebJFix Deliverables: Upon full and final payment for a website design or redesign project, you will own the final design files, code, and graphics created specifically for your project.
• Proprietary Tools/Software: WebJFix retains ownership of any pre-existing code, templates, libraries, tools, or software developed or licensed by WebJFix that are used in the creation of your project. These are licensed to you for use with your specific project only.
• Portfolio Rights: WebJFix reserves the right to display completed projects in its online portfolio, social media, and marketing materials for promotional purposes.

5. Project Timelines and Revisions

• Timelines: Project timelines provided are estimates and are contingent upon timely client feedback, content provision, and adherence to payment schedules.
• Revisions: The number of revisions included will be specified in your Project Proposal. Additional revisions beyond the agreed-upon scope may incur extra charges.

6. Limitation of Liability

In no event shall WebJFix, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

7. Indemnification

You agree to defend, indemnify and hold harmless WebJFix and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) content posted on your website that infringes on third-party rights or is unlawful.

8. Confidentiality

Both WebJFix and the Client agree to keep confidential all information concerning the other party’s business, finances, and methods, obtained during the course of the project, unless disclosure is required by law.

9. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in Madurai, Tamil Nadu, India.

11. Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, of India. The seat of the arbitration shall be Madurai, Tamil Nadu, India. The language of the arbitration shall be English.

12. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Entire Agreement

These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
